ASAP ARCADE DESIGN RIGHTS CONSENT AGREEMENT
This Design Rights Consent Agreement (“Agreement”) is entered into by and between the undersigned individual (“Creator”) and ASAP Arcade, LLC, a limited liability company organized and existing under the laws of the State of [State], with its principal place of business at [Company Address] (“Company”). This Agreement shall be effective as of the date of the Creator’s acknowledgment via the ASAP Arcade platform (“Effective Date”).
1. Assignment of Rights
The Creator hereby irrevocably assigns, conveys, and transfers to the Company all right, title, and interest, including all intellectual property rights and copyrights, in and to any and all designs, logos, avatars, illustrations, characters, and other creative works (collectively, the “Designs”) that are developed, created, or submitted by the Creator on, through, or in connection with the Company’s products, services, or digital platforms.
2. Company’s Exclusive Rights
The Company shall have the unrestricted, exclusive, and perpetual right to use, reproduce, modify, adapt, publish, distribute, sublicense, publicly display, and otherwise exploit the Designs, in whole or in part, in any and all media now known or hereafter developed, for any purpose whatsoever, commercial or otherwise, without further compensation to the Creator.
3. Waiver of Moral Rights
To the fullest extent permitted by applicable law, the Creator hereby irrevocably waives any and all claims to moral rights, rights of attribution, or any similar rights in connection with the Designs and consents to any acts or omissions by the Company or its licensees, successors, or assigns that may otherwise infringe such rights.
4. No Obligation of Use
The Creator acknowledges that the Company is under no obligation to use any of the Designs and that any use shall be at the sole discretion of the Company.
5. Release and Indemnification
The Creator hereby releases, discharges, and agrees to indemnify and hold harmless the Company, its officers, directors, employees, agents, successors, and assigns from and against any and all claims, demands, actions, liabilities, losses, or damages arising out of or in connection with the use of the Designs, including but not limited to claims for invasion of privacy, misappropriation of likeness, defamation, or violation of any intellectual property or proprietary rights.
6. Entire Agreement
This Agreement constitutes the entire agreement between the parties regarding the subject matter herein and supersedes all prior or contemporaneous communications, whether electronic, oral, or written. This Agreement shall be governed by and construed in accordance with the laws of the State of [State], without regard to its conflict of law principles.
7. Acknowledgment and Acceptance
By checking the consent box and submitting this form via the ASAP Arcade platform, the Creator acknowledges that they have read, understood, and voluntarily agreed to be bound by the terms of this Agreement. Such electronic acknowledgment shall be deemed equivalent to a written signature.
